Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Essoflo, a platform provided by Essoflo Labs (“Essoflo,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Essoflo is a web-based platform that helps businesses build, visualize, and manage workflows and Standard Operating Procedures (SOPs), with the ability to switch between flowchart and document views.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use Essoflo. By creating an account, you represent that the information you provide is accurate and that you have authority to bind any organization on whose behalf you sign up.
You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us immediately at support@essoflo.com if you suspect unauthorized access.
3. Plans, Pricing, and Payment
Essoflo offers a free plan with limited usage and paid plans charged on a subscription basis (base plan plus per-seat pricing, or custom enterprise pricing).
- Billing: subscriptions are billed in advance on a recurring basis through Stripe.
- Auto-renewal: subscriptions automatically renew at the end of each billing cycle unless cancelled.
- Price changes: we may change prices with at least 30 days’ notice. Changes apply to the next billing cycle.
- Taxes: fees do not include taxes; you are responsible for any applicable taxes.
4. Cancellations and Refunds
You can cancel your subscription at any time from your account settings or by contacting support@essoflo.com.
When you cancel:
- Your access to paid features continues until the end of the current billing period
- You will not be charged for future billing periods
- Your account is downgraded to the free plan unless you choose to delete it
Refund requests are reviewed case by case. We may issue a full or partial refund depending on the circumstances, including billing errors, duplicate charges, or service issues that meaningfully prevented you from using Essoflo. To request a refund, email support@essoflo.com with your account email, the charge in question, and a brief explanation. We aim to respond within 5 business days.
The following are generally not refundable: subscription periods after the current one, charges older than 90 days, and charges related to violations of these Terms.
5. Free Plan
The free plan is offered as-is with usage limits that may change over time. We may suspend, modify, or discontinue free accounts at any time.
6. Your Content
You retain ownership of the files, documents, flowcharts, and other content you upload or create in Essoflo (“Customer Content”). You grant us a limited, non-exclusive license to host, store, process, and display Customer Content solely as needed to provide the Service.
You are responsible for ensuring you have the rights to upload and use your Customer Content and that it does not violate any law or third-party right.
Customer Content is scoped to your organization’s workspace and shared only with members you invite. Public sharing is not currently supported.
7. Acceptable Use
You agree not to use Essoflo to:
Upload or share content that:
- Infringes intellectual property rights
- Is unlawful, defamatory, harassing, threatening, or invades someone’s privacy
- Is obscene, sexually explicit, or sexually exploits minors
- Promotes violence, self-harm, or discrimination
- Contains malware, viruses, or any code intended to disrupt or damage software, hardware, or data
Engage in conduct that:
- Sends spam or unsolicited communications
- Attempts to gain unauthorized access to any account, system, or data
- Probes, scans, or tests the vulnerability of the Service without written authorization
- Interferes with or disrupts the Service, including denial-of-service attacks
- Reverse-engineers, decompiles, or attempts to extract source code from the Service
- Resells, sublicenses, or redistributes the Service without our written permission
- Uses automated tools (bots, scrapers, crawlers) except where explicitly permitted
- Impersonates any person or entity
- Circumvents usage limits, access controls, or paid features
- Violates any law or regulation
We may investigate suspected violations and take any action we believe appropriate, including removing content, warning, suspending, or terminating accounts, and cooperating with law enforcement. We may act without prior notice if we believe immediate action is necessary.

8. Copyright and DMCA
Essoflo Labs respects intellectual property rights. If you believe content on Essoflo infringes your copyright, send a written notice to support@essoflo.com (subject line: “DMCA Notice”) containing:
- Your physical or electronic signature
- Identification of the copyrighted work claimed to be infringed
- Identification of the allegedly infringing material with enough detail to locate it
- Your contact information (name, address, phone, email)
- A good-faith statement that the use is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner
If you believe your content was removed in error, you may submit a counter-notice to the same address with a similar set of statements (including consent to jurisdiction in the federal court of your district, or where Essoflo Labs is located if outside the U.S.).
We will terminate accounts of repeat infringers. Submitting false claims may result in legal liability.
9. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by Essoflo Labs and protected by intellectual property laws. We grant you a limited, non-transferable, revocable license to access and use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, or resell the Service.
10. Third-Party Services
The Service may integrate with or rely on third-party services (such as Stripe, Vercel, and Supabase). We are not responsible for the availability, accuracy, or content of third-party services.
11. Suspension and Termination
We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct that risks harm to Essoflo, its users, or third parties. We will give reasonable notice where practical.
After account termination, we may retain limited data as described in our Privacy Policy.
12. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
13. Limitation of Liability
To the maximum extent permitted by law, Essoflo Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from your use of the Service.
Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (A) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (B) USD $100.
14. Indemnification
You agree to indemnify and hold Essoflo Labs harmless from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your Customer Content, or your violation of these Terms or applicable law.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in Tennessee, and you consent to the jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days in advance where practical. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Miscellaneous
- Entire agreement: these Terms (together with policies referenced in them) are the entire agreement between you and Essoflo Labs.
- Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
